Conditions for the selection of counterparties to enter into an alcohol supply contract

STANDART Limited Liability Company operating in the field of the production, storage and sale of alcoholic products under License No. PKHP B 097885 (hereinafter referred to as the License) has approved these criteria for selection of counterparties (hereinafter referred to as the Criteria) to enter into alcohol supply contracts according to Article 9 (Ninth) of Federal Law No. 381-FZ of 28.12.2009 On the Principles of State Regulation of Trade Activities in the Russian Federation.

The purpose of these conditions for selection is to ensure and monitor the proper performance of the obligations between economic entities, equal conditions for all market participants, and establish clear and understandable criteria for cooperation.

In this document, the Counterparty means a legal entity that has entered into or is willing to enter into a contractual relationship with STANDART LLC for the supply of alcoholic products in order to further distribute the same in the Russian Federation.

  1. Principles for the selection of Counterparties to enter into an alcohol supply contract

    1. 1.1. Counterparties are selected based on the principles of uniform criteria and equal access to information.

    2. 1.2. STANDART LLC verifies the Counterparties for their good faith and compliance with the applicable laws. In the selection of a Counterparty, preferable are economic entities that have been carrying out economic activities in the Russian Federation for a long time and do not have outstanding enforcement proceedings.

  2. Criteria for the selection of Counterparties

    1. 2.1. STANDART LLC adheres to the following criteria when selecting Counterparties:

      1. 2.1.1. No taxes, fees and charges payable

      2. 2.1.2. The counterparty is not under liquidation, under bankruptcy proceedings, its activities have not been suspended.

      3. 2.1.3. It has a valid license for the purchase, storage and supply of alcohol and alcohol-containing products, or a license to retail alcoholic products.

      4. 2.1.4. No failure to perform or improper performance by the Counterparty of its assumed obligations under deals entered into earlier.

      5. 2.1.5. No information about the Counterparty, its managers, participants in publicly available lists posted on the website of the Federal Tax Service in the section Business Risks.

      6. 2.1.6. It has a good business reputation in its region.

  3. Conditions for the selection of counterparties to enter into an alcohol supply contract.

    1. 3.1. The counterparty must be incorporated according to Russian applicable law.

    2. 3.2. Before entering into a supply contract, the counterparty must provide certified copies (signed by the authorized person and stamped with the counterpartys seal) of the following documents:

      • the charter;
      • the state registration certificate of the legal entity;
      • the certificate of registration as a tax payer;
      • minutes/decision on the appointment of a sole executive body and the extension of its powers (if necessary) or a collegial executive body;
      • a power of attorney (where the signatory on the part of the counterparty acts on the basis of the power of attorney);
      • a license (if the counterpartys activity is licensed);
      • an extract from the Unified State Register of Legal Entities issued no earlier than 30 (thirty) days;
      • documents confirming the location at the legal address;
      • a balance sheet as of the last reporting date with a mark of the tax authority.
    3. 3.3. The Company may request other documents confirming the legal status and good faith of the Counterparty.

    4. 3.4. The Company may offer the Counterparty to enter into a supply contract on a prepayment basis with the counterparty if in doubt that the counterparty fully meets the criteria of a reliable partner.

    5. 3.5. If a full set of necessary documents has been submitted and the counterparty meets the specified requirements, the company enters into a supply contract with the counterparty in the manner prescribed by the Civil Code of the Russian Federation.

  4. Grounds for refusing to cooperate with a particular Counterparty

    1. 4.1. Failure of the Counterparty to comply with the selection criteria established by this document.

    2. 4.2. Inability to meet the conditions of cooperation proposed by the Counterparty.

STANDART LLC ensures the confidentiality of the information received and reserves the right to review, amend and modify these terms and conditions at any time.
